CONTRACT FOR SERVICES

This Video Booth Rental Agreement is made on July 24th, 2023 between the two following parties:

PURPOSE OF THE AGREEMENT

Client wishes to hire the Provider to perform services relating to Client’s Christmas Tree Lighting as detailed in this Agreement. Provider has agreed to provide such services according to the terms of this Agreement.

Provider shall provide Client with the following services and/or products ("Services"):

Location. Provider shall deliver Services to Client at the following location(s):

Cost, Fees and Payment

Cost. The total cost ("Total Cost") for all Services is

$419.00 Due in full by December 7th, 2023

Please refer to Invoice to pay the Provider.

Client Responsibilities:

Outdoor events require a level ground and an overhead covered area for the 360 video booth (as weather permits).
Client agrees to secure date with a non-refundable 50% deposit at time of booking and total remaining balance paid 7 days prior to the event.
If balance is not paid on time or client cancels the event the deposit is non refundable.
If full payment is received in advance, and the event is canceled within 7 days of the event, only 25% of the "REMAINING BALANCE" is refundable.
If client books within 7 days of the event, payment MUST be made in Full.

The Golden 360 \ Provider Obligations:

360 Photo booth delivery, setup and removal
Unlimited videos for the duration of Spin time.
Provide professional host and hospitality for booth operations
Reserves the right to use any videos or photos from the event for promotional use only.

Terms & Conditions:

Liability and Indemnification. The Provider will not be liable for direct, indirect, incidental or consequential damages (including, but not limited to, damages for lost profits or increased expenses) with respect to any claim related to this Agreement and the services provided. The Client will indemnify and hold harmless the Provider and all technicians who are independent contractors working with the Provider at the time against all liability related to the Event from its date and into the future. The Client will assume all legal fees claimed by third persons, provided that such loss or damage was not caused by the fault or negligence of the Provider or its employees, agents, or subcontractors.

Overage. Any overage in time will be billed at the rate of $ 150.00/hr. Payment for any overage in time must be paid before additional hours will be provided. If the Event ends earlier than expected, no refund will be given.

Damage to Equipment. The Client will be responsible for any damage or loss to the Provider’s equipment due to misuse by the Client or any guest of the Client and in the case of theft or damage (due, but not limited, to fire, flood, or earthquake). If the Provider judges the weather during the course of the Event to be inclement and thus unsafe, they reserve the right to cease operations for the safety of the equipment and of the Event’s attendees, in which case no refund will be given.

GOVERNING LAW. This Agreement shall be construed and governed in accordance with the laws located in the State where the Event is taking place.

ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the Parties. No modification or amendment of this Agreement shall be effective unless in writing and signed by both Parties.

EXECUTION. The Provider and the Client each represent and warrant to the other that each person executing this Agreement on behalf of each party is duly authorized to execute and deliver this Agreement on behalf of that party.
